Terms of service

Global LED Lights — General Terms of Sale (B2B)

Version: 11 September 2026

1. Seller and scope

The seller is Global LED Lights, a registered trading name of the Dutch sole proprietorship that also trades as Global Squash (the “Seller”). Contact: info@globalledlights.com; +31 6 87921825. VAT identification number: NL005469180B06. KvK number: 42065867.

These terms apply to sales of lighting products to customers purchasing for their business or professional activities (the “Customer”). They are not consumer terms. A company name or VAT number alone does not determine whether a purchase is a business purchase; mandatory consumer protections remain applicable where required by law.

The Seller must provide these terms in a form the Customer can read, download and retain before the contract is concluded. An individual written agreement expressly accepted by the Seller takes priority over conflicting provisions. Product-specific specifications and expressly agreed warranty promises take priority over general descriptions. Customer purchasing conditions do not replace these terms without the Seller’s express written agreement; conflicts between competing terms must be resolved before acceptance.

2. Orders, acceptance and information

The Customer must supply accurate ordering, business, delivery and tax information and be authorised to place the order. The agreed products, quantities, price and delivery destination are those stated in the accepted order.

An automated order-receipt message acknowledges receipt. The Seller accepts the order through an express acceptance message or dispatch. Payment collection alone does not constitute acceptance. If the Seller cannot accept an order, it will promptly notify the Customer and refund the payment.

Obvious typographical or pricing errors may be corrected before acceptance. An accepted order will not be repriced unilaterally. Material substitutions require the Customer’s agreement.

3. Prices, payment and taxes

Prices are in euros and exclude VAT and transport unless expressly stated otherwise. Applicable taxes and shipping charges must be disclosed before payment. Orders are payable in advance using the payment methods offered at checkout unless a different arrangement is agreed in writing. Supplier preparation may begin once the order is accepted and payment has been received.

Any VAT exemption or reverse-charge treatment depends on the actual transaction and applicable legal requirements, not merely the provision of a VAT number. The Customer must provide accurate supporting information; the Seller remains responsible for applying the correct tax treatment. Any necessary correction must be explained and documented.

4. Delivery and risk

Products may be dispatched directly by LEDBERG from Poland on the Seller’s behalf. Global LED Lights remains the Customer’s contractual seller and contact for the order. Dispatch estimates are not guaranteed arrival dates unless expressly agreed in writing. For AXION SQUASH, the current estimated dispatch period is 2–3 weeks after ordering and payment, with carrier transit time additional.

The shipping policy supplied with the order governs the agreed charges. The current squash-fixture rate is €35 per package of up to ten fixtures for the Netherlands, Germany, Belgium, Austria and Romania, excluding applicable VAT, subject to checkout availability. Other products, destinations and orders above 100 fixtures require separate pricing. Agreed shipping charges will not be increased retrospectively without agreement.

The Customer must provide a complete address and reasonable access for delivery. Reasonable, evidenced additional delivery or storage costs caused by the Customer’s incorrect details or failure to accept an agreed delivery may be charged after explanation. Risk of loss or damage passes on physical delivery to the Customer or its nominated recipient. Claims relating to earlier damage remain the Seller’s responsibility to address. Partial delivery may be arranged where reasonable and communicated in advance, without unagreed additional charges.

If a material delay occurs, the Seller will communicate the position and a revised estimate. These terms do not remove any right to set a reasonable additional performance period or terminate an unperformed part of the contract where the law permits.

5. Installation, suitability and project advice

Fixture supply does not include installation, removal of existing equipment, electrical alterations, access equipment, commissioning, lighting design or certification unless expressly included in a written scope. Global Squash installation and project services require a separate agreed scope and price.

The Customer must arrange installation by competent professionals in accordance with manufacturer instructions, electrical requirements and applicable site rules. It must provide accurate site dimensions, mounting information and intended operating conditions when seeking project advice.

General fixture-count guidance, illustrations and savings calculations are indicative. In particular, the usual recommendation of nine or twelve fixtures per squash court does not by itself guarantee a lighting standard or competition classification. Project-specific performance requirements must be agreed expressly. This does not exclude responsibility for incorrect specifications or professional advice expressly provided by the Seller.

6. Inspection, concerns and safety

The Customer should inspect deliveries promptly and report shortages, visible damage or incorrect items without undue delay, with the order number and reasonable supporting evidence. Hidden defects should be reported promptly after discovery. These notice provisions do not automatically extinguish a valid claim merely because an arbitrary short deadline has passed.

The Customer must take reasonable steps to prevent avoidable further damage, retain relevant packaging and evidence, and allow reasonable assessment. Potentially unsafe equipment should be taken out of service safely and the Seller notified. Both parties must cooperate with applicable safety notices or recalls. Nothing in these terms restricts reporting to a competent authority.

7. Product warranty and remedies

The Seller provides a five-year product warranty on AXION SQUASH fixtures, starting on delivery, for product defects arising under normal use following correct installation, operation and maintenance. For a covered defect, the Seller will arrange repair or replacement without a product repair or replacement charge. The Seller remains the Customer’s contact and will not require the Customer to pursue LEDBERG instead.

The product warranty does not include removal, reinstallation, on-site labour or access-equipment hire as an additional commercial benefit. Any separate installation obligations, other contractual remedies and rights that cannot legally be excluded remain unaffected.

Damage attributable to misuse, unsuitable electrical supply, incorrect installation, unauthorised modification or operation outside the specifications is excluded only to the extent that the relevant cause produced the defect. An unrelated modification does not automatically invalidate the whole warranty.

LEDBERG publishes a minimum lifespan of 100,000 hours for AXION SQUASH. This stated lifespan is not a 100,000-hour warranty or a guarantee that every component will operate for that duration. Actual service life depends on the installation and operating conditions. No particular lumen-maintenance classification is promised unless included in the agreed specification.

The Customer should contact the Seller before undertaking chargeable repair work or returning goods. The Seller will confirm assessment and return arrangements. Where repair or replacement cannot provide an appropriate remedy within a reasonable period, other remedies available under the contract or applicable law remain available. The limitation of liability below does not reduce the express repair or replacement commitment or an obligation to refund an amount properly repayable.

8. Voluntary returns and cancellation

There is no automatic change-of-mind return entitlement for B2B orders under these terms. Returns of correctly supplied, non-defective goods require prior written agreement. Before shipment back, the parties will agree the return address, required condition, any reasonable handling or transport charges and the refund amount. Used, installed, modified or customer-specific goods are not automatically eligible.

Changes or cancellation of accepted orders require written agreement, without prejudice to legal remedies for non-performance. The Seller may propose recovery of reasonable, evidenced and unavoidable costs already committed for the order; it must mitigate those costs and agree the resolution rather than impose an undisclosed fixed penalty.

Faulty, damaged and incorrectly supplied goods are handled separately under the warranty and applicable remedies. Approved or legally required refunds will be made through the original payment method where reasonably possible. Payment-provider processing times may apply.

9. Liability allocation

Subject to the exceptions below, the Seller is not liable for lost profit, lost revenue, business interruption, loss of anticipated savings or other indirect or consequential commercial loss. The Customer must take reasonable steps to mitigate loss. The Seller is responsible only for loss attributable to its breach or other legally established responsibility.

Subject to the exceptions below, the Seller’s aggregate liability for damages arising from one order is limited to the net price paid or payable for that order, excluding VAT. Connected events arising from the same cause are treated together. This cap does not limit repayment obligations or the express warranty repair or replacement remedy.

No exclusion or limit applies to death or personal injury caused by a party’s negligence, fraud, intentional misconduct or gross negligence, mandatory product liability, or any other liability that cannot lawfully be excluded or limited. Where applicable law requires a different limitation for breach of an essential obligation, that law prevails. These clauses do not excuse delivery of products that fail their agreed specification.

10. Manufacturer and service providers

LEDBERG manufactures the fixtures and may dispatch them on the Seller’s behalf. It is not made a party to the retail sales contract by these terms. No independent installation, site attendance or commercial warranty obligation is imposed on LEDBERG by statements made by the Seller unless LEDBERG expressly agrees.

To the extent permitted by the law applicable to the claim, the contractual defences and exclusions in these terms are also stipulated for the benefit of LEDBERG and the Seller’s personnel and subcontractors when performing this contract, and may be accepted by them as third-party beneficiaries. This provision neither waives independent mandatory claims against them nor creates a blanket immunity from defective-product liability. It does not change the separate agreement between the Seller and LEDBERG or the Seller’s rights of recourse under that agreement.

11. Events outside reasonable control

A party affected by an event beyond its reasonable control must promptly notify the other party, explain the likely impact and take reasonable steps to mitigate it. A supplier delay is not automatically such an event. Performance may be suspended only to the extent and for the period reasonably prevented. For a prolonged material interruption, the parties will discuss an alternative or termination of the unperformed part, including refund of sums paid for goods that will not be supplied. Mandatory termination rights remain unaffected.

12. Personal information and communications

Order and delivery details may be shared with LEDBERG, carriers and service providers as necessary to fulfil the order, in accordance with the privacy policy and applicable data-protection law. Only relevant information should be shared. Notices and order-related requests should be sent to info@globalledlights.com.

13. Applicable law and disputes

Dutch law governs the contract, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The competent courts of the Netherlands shall have jurisdiction, subject to mandatory jurisdiction rules. This clause does not override mandatory protections or rules that apply irrespective of the chosen law.

The parties should first attempt to resolve a dispute in writing, without delaying urgent protective action or a statutory time limit. If a provision is invalid, the remaining provisions continue to apply to the extent possible; an invalid provision is not automatically replaced by a more onerous one. Amendments apply to future orders only unless the parties expressly agree otherwise.
